Terms & conditions

Clear terms make stronger AI partnerships.

These service terms set the legal foundation for working with Lorong AI. They explain what we deliver, who owns the work, how client data is handled, and where responsibility sits during an AI project.

Effective from 1 June 2025. These terms apply to use of this website and to consulting engagements agreed with Lorong AI.

01 / Before we begin

Terms of engagement with Lorong AI

By using this website or signing a statement of work with Lorong AI, you agree to these terms. A project statement, proposal, or order form may add detail, but it cannot change these terms unless both parties approve the change in writing.

Our work is designed for businesses that need practical decisions around AI strategy, data analytics, machine learning, governance, or digital transformation. We agree the intended outcome, working assumptions, milestones, and acceptance points before delivery starts.

Read these terms with our Privacy Policy. Singapore law governs this relationship.

02 / Detailed clauses

The working rules, in plain English

Good service terms remove guesswork. Each clause below applies unless your signed project agreement states a specific variation.

1. Definitions

"Client" means the organisation named in a signed proposal or statement of work. "Services" means the AI consulting work described in that document.

"Deliverables" means the reports, recommendations, models, configurations, training materials, or other items we agree to provide. "Client Data" means information supplied by or on behalf of the Client.

2. Service scope and changes

Lorong AI will perform the Services with reasonable skill and care, using the methods and milestones set out in the agreed project documents.

AI projects can expose new data or technical requirements. Either party may request a change. We will confirm its effect on scope, timing, dependencies, and fees before the change starts.

3. Client obligations

The Client must give timely access to relevant people, systems, documentation, and data. The Client remains responsible for checking that supplied information is accurate and that it has the right to share it.

The Client must appoint a decision-maker who can provide approvals. Delays caused by missing access, late feedback, or changed business requirements may move the delivery dates.

4. Fees and payment

Fees, applicable taxes, expenses, and payment milestones will appear in the relevant proposal or statement of work. Invoices are payable within the period stated there, or within 30 days where no period is stated.

We may pause work on overdue undisputed invoices after giving written notice. The Client must raise an invoice query promptly and pay any amount that is not in dispute.

5. Intellectual property

The Client keeps ownership of its Client Data, trade marks, existing software, and materials supplied to Lorong AI. The Client grants us permission to use those materials only as needed to provide the Services.

Once all related invoices are paid, the Client receives a perpetual, worldwide, non-exclusive licence to use custom models, analysis, documentation, and other Deliverables created specifically for its project. The licence includes internal business use and reasonable modification.

Lorong AI retains ownership of its pre-existing tools, methods, templates, know-how, and general improvements. We grant the Client a licence to use those elements where they are included in a Deliverable. Open-source components remain subject to their own licences.

6. Confidentiality

Each party must protect the other party's confidential information and use it only for the agreed engagement. Access should be limited to people who need the information and who are bound by suitable confidentiality duties.

This duty does not cover information that is public without breach, already lawfully known, independently developed, or required to be disclosed by law. Confidentiality obligations continue for three years after the engagement ends, with trade secrets protected for as long as they remain secret.

7. Data usage and protection

Lorong AI will handle Client Data only for the agreed Services, project administration, security, and legal compliance. We will use suitable technical and organisational safeguards and will notify the Client of a confirmed personal data breach without undue delay.

The Client is responsible for identifying the lawful basis for personal data supplied to us and for giving any required notices. We may use trusted service providers under written obligations that protect the data.

We do not use identifiable Client Data to train a general-purpose model unless the Client gives written permission. Aggregated or de-identified information may be used to improve methods where it cannot reasonably identify the Client or an individual.

8. Limitation of liability and indemnity

Deliverables support business decisions; they do not replace the Client's professional, regulatory, financial, safety, or legal judgement. The Client must test outputs in its own operating environment before relying on them.

To the extent allowed by Singapore law, neither party is liable for indirect loss, lost profits, lost opportunity, or loss of anticipated savings. Lorong AI's total liability for an engagement is limited to the fees paid or payable for that engagement in the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, confidentiality breaches, data protection obligations, or liabilities that cannot legally be limited.

9. Termination, governing law, and disputes

Either party may end an engagement for a material breach that remains unresolved 30 days after written notice. Either party may terminate immediately where the other party becomes insolvent or cannot legally continue.

On termination, the Client must pay for Services completed and approved expenses incurred up to the termination date. Each party must return or securely delete confidential information when reasonably requested, subject to legal retention duties.

These terms are governed by the laws of Singapore. The parties will first try to resolve a dispute through senior representatives. If that does not resolve the issue, the Singapore courts have exclusive jurisdiction.
